Standard Terms & Conditions of Sale (May 2025)

Quotes

Price quotations are valid for a period of ninety (90) days unless otherwise noted on the quotation.

Taxes

Prices are exclusive of applicable sales, use, service, and like taxes which shall be the responsibility of the buyer at the time of purchase.

Orders

Orders will be accepted by written purchase order, sales order, signed quotation, or digitally through our online store. These terms and conditions apply exclusively to all orders. No other terms shall apply to any order unless accepted in writing by an authorized representative of EchoMAV Technologies, Inc.. Orders will be accepted by EchoMAV Technologies, Inc.in writing or through performance within 10 business days.

Order Cancellation

Orders for standard products offered in the company’s standard product catalog may be cancelled prior to shipment by submitting, in writing, a request to cancel. Orders for custom products not offered in the company’s standard product catalog may be cancelled in accordance with the terms of the purchase agreement or accepted quotation at the discretion of EchoMAV Technologies, Inc. If no such terms are included, then orders for products not offered in the company’s standard product catalog may not be cancelled.

Returns

Returns for standard products offered in the company’s standard product catalog can be returned in unopened and unused condition in the original undamaged packaging material for a full refund within 30 days of delivery. Returns for opened and/or used products may be returned at the discretion of EchoMAV Technologies, Inc. A standard restocking fee of 20% may be applied for opened and/or used equipment that is returned. Buyer shall be responsible for shipping costs incurred for returns.

Delivery & Shipping

Unless otherwise noted on the purchase agreement, all shipping, handling, and delivery charges shall be the responsibility of the purchaser. All shipments are made F.O.B. shipping point. All risk and liability of damage or loss during shipment shall be the responsibility of the buyer.

Payment Terms

At its sole discretion, EchoMAV Technologies, Inc. may choose to extend credit to the purchaser as indicated in the purchase agreement. If such credit is extended, the buyer agrees to pay according to the terms of the purchase agreement. If no such terms are included in the purchase agreement, and EchoMAV Technologies, Inc. has elected, in writing, to extend credit to the customer, standard payment terms of Net 30 shall apply. EchoMAV Technologies, Inc. reserves the right to assess overdue charges in the amount of 1.5% of the outstanding balance for any late payments. EchoMAV, at its sole discretion, reserves the right to change or revoke payment or credit terms upon changes to the buyer’s financial condition, payment history, or change in relationship with EchoMAV Technologies, Inc.

All payments shall be made in United States Dollars.

Warranties

Our products are warranted for one year from the date of purchase to be free from defects in material and workmanship. Any such defects of which EchoMAV Technologies, Inc. receives written notice shall be, at the manufacturer’s option, repaired or replaced with a new, repaired, or refurbished product of equal value in exchange without charge (except for a fee for shipping, handling, packing, return postage, and insurance which will be incurred by the customer). This warranty applies to products used for their intended purpose.

Limitation of Liability

EchoMAV Technologies, Inc. shall not be liable for any incidental, special, or consequential damages, losses, or expense (including, but not limited to, cost of cover, lost profits, or lost business) arising directly or indirectly from the purchase, use, or sale of EchoMAV Technologies, Inc. products. EchoMAV Technologies, Inc.’s liability to the buyer under these terms will be limited to the amounts paid by the buyer to EchoMAV Technologies, Inc. on the purchase order, invoice, or sales agreement at issue.

Indemnification

Buyer agrees to indemnify EchoMAV Technologies, Inc. against and hold EchoMAV Technologies, Inc. harmless from, any and all damages, losses, expenses (including reasonable attorney’s fees and costs of litigation on an ongoing basis), and claims by any other party resulting from Buyer’s acts, omissions or misrepresentations, regardless of the form of action.

Termination

At the discretion of EchoMAV Technologies, Inc., and in addition to any other rights and remedies available to it, EchoMAV Technologies, Inc. may terminate its relationship with Buyer at any time in the event that (i) Buyer is involved in any voluntary or involuntary bankruptcy, proceeding, or any other proceeding concerning insolvency, dissolution, or reorganization of indebtedness and the proceeding is not dismissed within sixty (60) days or (ii) Buyer becomes unable or unwilling to pay its debts as they mature in the ordinary course of business or makes an assignment for the benefit of its creditors.

Export Control

The parties to these terms acknowledge that products manufactured, sold, or provided by EchoMAV Technologies, Inc. may be subject to the export control laws of the United States of America, including U.S. Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR), and hereby agree to obey any and all such laws. The parties agree to comply with all applicable US laws, including the U.S. Foreign Corrupt Practices Act of 1977, as amended, and with all applicable foreign laws relating to the use, importation, licensing or distribution of the products.

EchoMAV Technologies, Inc. is committed to compliance with all U.S. Export Regulations and Laws. EchoMAV Technologies, Inc. will not sell or ship to countries embargoed by the U.S. Treasury Office of Foreign Asset Control (OFAC). EchoMAV Technologies, Inc. will not sell or ship to individuals or organizations identified by the U.S. Treasury as Specially Designated Nationals and Blocked Persons. EchoMAV Technologies, Inc. will not sell or ship products prohibited under Export Administration Regulations to individuals or organizations identified by the U.S. Department of Commerce, Bureau of Industry and Security (BIS). EchoMAV Technologies, Inc. will not seek export licenses pursuant to Export Administration Regulations. EchoMAV Technologies, Inc. participates in BIS Export Enforcement and OFAC transaction reporting. Furthermore, EchoMAV Technologies, Inc. prohibits the re-export, brokering or transshipment of its products to any individual, organization or country prohibited by the OFAC or BIS. The sale, resale or other disposition of Products, and any related technology or documentation, are subject to the export control laws, regulations and orders of the United States and may be subject to the export and/or import control laws and regulations of other countries. Customer agrees to comply with all such laws, regulations and orders. Customer further acknowledges that it shall not directly or indirectly export any Products to any country to which such export or transmission is restricted or prohibited. Customer acknowledges its responsibility to obtain any license to export, re-export or import as may be required.

Controlling Law

In regards to any litigation arising out of or related to these terms: (a)  Texas law, including that body of law relating to choice of law, will exclusively govern; (b) Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, and any dispute relating to any non‐contractual obligations arising out of or in connection with this Agreement, shall be referred to and finally resolved by arbitration. The place of arbitration shall be Lubbock, Texas. Buyer hereby consents to the application of Texas law and arbitration.
